Welcome to our Website. We have developed it to help you understand more about Nomad Foods' open innovation programme — Future Foods Lab — and provide a portal for you to submit ready to market solutions (each a "Proposal") for consideration by Nomad Foods.

Please take your time and browse for as long as you like. If you want to message or contact us, please use our contact page and we will be happy to help you.

As with all companies, we need to make you aware of these Terms, which apply to your use of the Website and govern how we and you deal with each other. If you have any questions, just contact us.

ATTENTION: This legal notice applies to the entire contents of the Website under the domain name www.futurefoodslab.com ("Website") and to any correspondence by e-mail between us and you. Please read these Terms carefully before using the Website. Using the Website confirms that you have accepted these Terms regardless of whether or not you choose to submit a Proposal to us. If you do not accept these Terms, do not use the Website. We may revise these Terms at any time. You should check the Website from time to time to review the then current Terms.

These Terms are issued by Nomad Foods Europe Limited ("we", "us" or "our"). We are registered in England and Wales under company number 5879466 and we have our registered office at Forge, 43 Church Street West, Woking, Surrey, GU21 6HT, England which is also our main trading address.

Our Privacy Policy also applies to your use of our Website. Our Privacy Policy sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using our Website, you consent to such processing and you warrant that all data provided by you is accurate.

Our Cookie Policy also applies to your use of our Website, which sets out information about the cookies on our Website.

1. Licence and our Intellectual Property Rights

You are permitted to print and download extracts from the Website to the extent necessary to create and submit a Proposal and on the following basis:
1. (a)no documents or related graphics on the Website are modified in any way;
2. (b)no graphics on the Website are used separately from the corresponding text; and
3. (c)our copyright and trade mark notices and this permission notice appear in all copies.
Unless otherwise stated, the copyright and other intellectual property rights, including our trademarks and those of any of our group companies, in all material on the Website (including without limitation photographs and graphical images) are owned by us or its licensors. For the purposes of these Terms, any use of extracts from the Website other than in accordance with clause 2.1 for any purpose is prohibited. If you breach any of these Terms, your permission to use the Website automatically terminates and you must immediately destroy any downloaded or printed extracts from the Website.
Subject to clauses 1.1 and 6, no part of the Website may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without our prior written permission.
Any rights not expressly granted in these Terms are reserved.

2. Service Access

While we endeavour to ensure that the Website is normally available 24 hours a day, we shall not be liable if for any reason the Website is unavailable at any time or for any period.
We do not guarantee that our Website will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access and use our Website. You should use your own virus protection software. If your use of the Website results in the need for servicing, repair or correction of equipment, software or data, you assume all costs thereof.
Access to the Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our reasonable control.

3. Uploading a Proposal to our Website

Other than personally identifiable information, which is covered under our Privacy Policy, any material you transmit to the Website (including without limitation your Proposal) shall be considered non-confidential and non-proprietary. We shall have no obligations with respect to such material and you grant us the irrevocable and unrestricted right to use your Proposal and the information and materials contained therein free of charge. We shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes, including without limitation transmitting such material to a third party or agent acting on our behalf.
You should understand that you must file for your intellectual or industrial property rights ("IP Rights") before disclosing your Proposal to anyone on a non-confidential basis or you may risk losing the ability to protect your Proposal with IP Rights according to applicable law. You should consult a lawyer or patent attorney before you submit your Proposal to Nomad Foods. If you cannot submit your Proposal without disclosing any confidential information, please contact: support@innoget.com. Innoget has been appointed by us as our agent to manage early stage communications, and the receipt and initial evaluation of Proposals. against the criteria established by us. Innoget will then contact you and, if considered necessary, we will put a confidentiality agreement in place to make sure our mutual interests are well protected.
You warrant that you have the right to disclose the Proposal information and any idea, innovation, information and material contained in your Proposal to us, that such disclosure does not breach any contract or obligation between you and a third party and that, to the best of your knowledge, possession or use of the Proposal by us or our designated third party agents does not misappropriate or infringe any IP Rights of others. You indemnify and hold us harmless against any loss, liability, claims, costs, expenses or damages in connection with any claim for misappropriation or infringement resulting from our possession or use of the Proposal or any idea, invention, information or materials contained in your Proposal.
You are solely responsible for securing and backing up your Proposal. We are not obliged to retain or review your Proposal and in particular, we reserve the right to block or delete any information and materials that we determine, in our sole discretion, infringe applicable law or third-party rights, without further notice to you. We also have the right to disclose your identity to any third party who is claiming that any or all of your Proposal constitutes a violation of their intellectual property rights, or of their right to privacy.
Nothing on this Website obligates us to implement, practice, license, purchase or provide any solutions, recommendations, inventions, intellectual property rights, products, concepts, systems, techniques or services, or to enter into any relationship or agreement with you. Submission of a Proposal does not create a relationship of agency, partnership, joint venture, or license between you and us. You acknowledge that we may currently or in the future be developing, acquiring or licensing information inventions, intellectual property, products, concepts, systems, techniques or services similar to those provided in your Proposal. Accordingly, our receipt of your Proposal should not be construed as a representation or agreement that we will refrain from developing or authorizing anyone else to develop any products, concepts, systems or techniques that are similar to those contemplated in your Proposal.

4. Your Conduct

You may not use our Website in any way that breaches any applicable local, national or international law or regulation, or in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
You are prohibited from posting or transmitting to or from the Website any material:
1. (a)that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience; or
2. (b)for which you have not obtained all necessary rights, licences and/or approvals; or
3. (c)which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in any country in the world.
You may not misuse the Website (including, without limitation, by hacking), or by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Website, the server on which our Website is stored or any server, computer or database connected to our Website. You must not attack our Website via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Website will cease immediately.
We shall fully co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or locate anyone in breach of clause 4.1 to 4.3.
You also agree not to reproduce, duplicate, copy or re-sell any part of our Website in contravention of the provisions of these Terms and you will not access without authority, interfere with, damage or disrupt: any part of our Website; any equipment or network on which our Website is stored; any software used in the provision of our Website; or any equipment or network or software owned or used by any third party.

5. Suspension and Termination of Your Use

We will determine, in our complete discretion, whether there has been a breach of our Terms through your use of our Website. When a breach has occurred, we may take such action as we deem appropriate.
Failure to comply with these Terms constitutes a material breach, and may result in our taking all or any of the following actions:
1. (a)Immediate, temporary or permanent withdrawal of your right to use our Website.
2. (b)Immediate, temporary or permanent removal of your Proposal from the Future Foods Lab process.
3. (c)Issue of a warning to you.
4. (d)Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
5. (e)Further legal action against you.
6. (f)Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
We exclude liability for actions taken in response to breaches of these Terms. The responses described in clause 5.2 are not limited, and we may take any other action we reasonably deem appropriate.

6. Links to and from Other Websites

Links to third party websites on the Website are provided solely for your convenience. If you use these links, you leave the Website. We have not reviewed all of these third party websites, do not control and are not responsible for these websites or their content or availability. We, therefore, do not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to the Website, you do so entirely at your own risk.
You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it and subject always to the following conditions:
1. (a)you do not remove, distort or otherwise alter the size or appearance of our trading names, trademarks or logos;
2. (b)you do not create a frame or any other browser or border environment around the Website;
3. (c)you do not in any way imply that we endorse any products or services other than our own;
4. (d)you do not misrepresent your relationship with us nor present any other false information about us;

We expressly reserve the right to revoke the right granted in clause 6.2 for breach of these Terms and to take any action we deem appropriate.
You shall fully indemnify us or any of our group of companies including any subsidiary, associated or parent company as the case may be, for any loss or damage suffered by us or any of our group companies for breach of clause 6.2.

7. Our Disclaimer

While we endeavour to ensure that the information on the Website is correct, we do not warrant the accuracy and completeness of the material on the Website. We may make changes to the material on the Website, at any time without notice. The material on the Website may be out of date, and we make no commitment to update such material.

9. Which Country's Laws Apply to Any Disputes?

These Terms, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction.
